Welcome to Jodne. These Terms of Service ("Terms") govern your access to and use of the Jodne platform (the "Platform"), operated by Jodne ("Company", "we", "us"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Platform Overview

Jodne is a creator-brand collaboration platform that connects content creators ("Creators") with brands ("Brands") seeking collaboration opportunities. The Platform enables:

  • Brands to post collaboration opportunities
  • Creators to discover and apply to opportunities
  • Both parties to connect and initiate collaborations
  • Users to build reputation through ratings and reviews

2. Account Registration

To use certain features of the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activities under your account
  • Not share your account or allow others to access it

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

3. Platform Role & Limitations

Important - Please Read Carefully:

Jodne is a connection platform only. We facilitate introductions between Brands and Creators but do not participate in, manage, or oversee the collaborations that occur between them.

  • Direct Collaboration: Once a Creator applies to an opportunity and a Brand accepts, all subsequent activities including negotiations, agreements, payments, content creation, and deliverables are handled directly between the Brand and Creator.
  • No Financial Responsibility: Jodne does not handle payments between Brands and Creators and bears no financial responsibility or liability for any collaboration conducted through the Platform.
  • No Guarantees: We do not guarantee the quality, safety, legality, or successful completion of any collaboration. We do not endorse any user or their content.
  • Dispute Resolution: Jodne is not responsible for resolving disputes between Brands and Creators. In cases of reported misconduct, we may investigate and take action including warning or banning parties from the Platform, but we cannot provide financial remediation or enforce agreements between users.

4. User Responsibilities

4.1 For All Users

  • Use the Platform lawfully and in accordance with these Terms
  • Provide accurate information in your profile and communications
  • Respect other users and maintain professional conduct
  • Not engage in harassment, discrimination, or abusive behavior
  • Not use the Platform for any illegal or unauthorized purpose
  • Not attempt to circumvent the Platform for direct contact outside established connections

4.2 For Brands

  • Post accurate and complete opportunity details
  • Honor commitments made to Creators
  • Provide fair compensation as agreed with Creators
  • Comply with applicable advertising and disclosure regulations
  • Respect Creator intellectual property and usage rights

4.3 For Creators

  • Accurately represent your audience, reach, and capabilities
  • Deliver on commitments made to Brands
  • Comply with platform guidelines and disclosure requirements (e.g., FTC guidelines)
  • Not misrepresent metrics or engagement data
  • Maintain the authenticity of your content and audience

5. Prohibited Conduct

You may not:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Post false, misleading, or fraudulent information
  • Engage in spam, phishing, or malicious activities
  • Attempt to gain unauthorized access to the Platform or other accounts
  • Use automated systems to access the Platform without permission
  • Interfere with the proper functioning of the Platform
  • Create multiple accounts for deceptive purposes
  • Manipulate ratings or reviews

6. Intellectual Property

The Platform and its original content, features, and functionality are owned by Jodne and are protected by copyright, trademark, and other intellectual property laws. Users retain ownership of content they create and share on the Platform but grant Jodne a license to display and distribute such content as necessary to operate the Platform.

7. Verification

Jodne may implement verification processes for users. Verified status indicates that we have conducted certain checks but does not constitute an endorsement or guarantee of any user's reliability, quality, or trustworthiness. Users should exercise their own judgment when engaging with others on the Platform.

8. Ratings and Reviews

The Platform allows users to rate and review each other after collaborations. Users agree to provide honest, fair, and accurate ratings and reviews. Jodne reserves the right to remove reviews that violate our guidelines or these Terms.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JODNE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Platform
  • Any conduct or content of any third party on the Platform
  • Any collaborations between Brands and Creators
  • Unauthorized access, use, or alteration of your content

11. Indemnification

You agree to indemnify and hold harmless Jodne and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of another.

12. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will cease immediately.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via the Platform or email. Your continued use of the Platform after such changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
